WyoTESOL Constitution

In the interest of transparent government, we are publishing our Constitution and By-Laws for all WyoTESOL members and/or prospective members.

WyoTESOL (Wyoming Teachers of English to Speakers of Other Languages) Constitution

ARTICLE I
Name The name of this Association shall be Wyoming Teachers of English to Speakers of Other Languages (WyoTESOL), an affiliate of the international organization of Teachers of English to Speakers of Other Languages (TESOL).

ARTICLE II Purposes
Section 1
WyoTESOL is a non-profit organization whose purposes are to promote scholarship, facilitate advocacy, disseminate information, provide opportunities for discussion and study in TESOL and Bilingual Education, and support research and scholarship in these fields.

Section 2
This association is organized exclusively for educational purposes, including the making of distributions as an organization that qualifies as exempt under Section 501(c) (3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United Internal Revenue law).

Section 3
Notwithstanding any other provision of these articles, the Association shall not carry on any other activities not permitted to be carried on by an organization exempt from Federal income tax under Section 501(c) (3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue law).

Section 4
All monies of the organization shall only be disbursed in the support of the purposes of this organization and shall not be disbursed to any member of the organization for his or her own private gains. Monies may be disbursed only with the approval of the Board and/or the majority of members in good standing at a business meeting.

ARTICLE III Membership
Membership in WyoTESOL shall be open to all individuals who, at any educational level, teach English to speakers of other languages, as well as to those preparing for such teaching or otherwise interested in ESOL.

ARTICLE IV Meetings and Quorum
The annual business meeting of the Association shall be held in the spring. Those members present at this meeting shall constitute a quorum.

ARTICLE V Officers and Standing Committees
Section 1 Officers
The elected officers of the Association shall be: Past-President, President, First Vice-President, Second Vice-President, Secretary/Treasurer, and Member-at-Large. The Second Vice-President shall succeed to First Vice-President, First Vice-President shall succeed to President, and the President to the Past-President.

Section 2 Presidents’ Council
The Presidents’ Council shall consist of the Past-President, President, First Vice-President, and Second Vice-President.

Section 3 Board
A. The Board shall consist of the elected officers, the Chair and Vice-Chair of each Interest Section, and Student Member Representatives. All shall be voting members of the Board.
B. The President of WyoTESOL shall each year, with the approval of the Board, appoint any other committee chairs or other 1-year positions, as appropriate, as voting members of the Board.
C. The Board shall direct the work of the Association under the general policies determined by the membership.

Section 4 Nominating Committee
The Nominating Committee shall consist of four members, with one being the Past-President who acts as the Chair. The members of this Committee are appointed by the Past-President at or before the annual conference. Members serve for one-year, preparing the slate of officers for the next annual business meeting.

ARTICLE VI Amendments
Amendments to the constitution may be made by a two-thirds majority of the members present at any regular meeting, provided that notice has been given to members at least thirty days before the amendments are voted upon.

ARTICLE VII Incorporators and Board of Trustees
Section 1
The names and addresses of the incorporators of this Association shall be as follows: George Miller, Susan Watkins, and Elizabeth Parker.

Section 2
The names and addresses of the Board of Trustees shall be the Past-President, and the Secretary/Treasurer.

ARTICLE VIII Registered Agent
The name of the registered agent and the address of the registered office shall be the name and address of the current Secretary/Treasurer.

ARTICLE IX Earnings
No part of the net earnings of this Association shall inure to the benefit of, or be distributed to, its members, trustees, officers, or other private persons, except that the association shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article hereof.

ARTICLE X Dissolution
Upon the dissolution of the association, the Board shall make provision for the payment of all the liabilities of the Association. All remaining finances or properties of this organization become sole properties of the international TESOL organization or another nonprofit organization of like interests.
